These Terms of Service (“Terms”) govern your access to and use of the website at effx.ai (the “Site”) and any related services, content, or materials provided by EFFX, LLC (“EFFX,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Acceptance of Terms

By accessing the Site, you represent that you are at least 18 years old, have the legal capacity to enter into these Terms, and agree to comply with them. If you are using the Site on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

EFFX is an AI advisory and implementation firm. The Site provides information about EFFX, our services, our methodology (including 8ait OS™ and 8ait Marketplace™), our team, our blog content, and ways to contact us.

The Site is for informational and lead-generation purposes. Engagement of EFFX’s services requires a separate written agreement that governs the scope, terms, and deliverables of any work performed by EFFX.

Nothing on the Site constitutes:

• A binding offer to provide services
• Legal, financial, tax, accounting, or other professional advice
• A guarantee of any specific outcome or result

3. Intellectual Property

3.1 Our Content

All content on the Site (including text, graphics, logos, images, video, audio, design elements, software, and trademarks) is owned by EFFX or its licensors and is protected by copyright, trademark, and other intellectual property laws.

EFFX, the EFFX logo, 8ait OS™, 8ait Marketplace™, and Turnformation™ are trademarks of EFFX, LLC. Other names, logos, and brands referenced on the Site are the property of their respective owners.

3.3 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes, or to evaluate EFFX’s services. You may not:

• Reproduce, distribute, modify, or create derivative works of Site content without our prior written consent
• Use the Site or its content for commercial purposes other than evaluating our services
• Use any automated means (bots, scrapers, etc.) to access or collect Site content
• Reverse engineer or attempt to extract the source code of the Site
• Remove or alter any copyright, trademark, or other proprietary notices

3.4 Feedback

If you provide us with feedback, suggestions, or ideas about the Site or our services, you grant EFFX a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that feedback without obligation to you.

6. AI Tools and Services Disclosure

EFFX is an AI advisory and implementation firm. As part of our work, we use third-party AI services and platforms, including but not limited to large language models, agentic frameworks, and automation tools.

6.1 AI Use in Client Engagements

When EFFX is engaged to perform advisory or implementation services for a client, the specific AI tools, platforms, models, and methodologies used are disclosed in the individual engagement agreement between EFFX and that client. Our engagement agreements typically address:

• Which AI tools and platforms will be used
• How client data will be handled, stored, and protected
• Whether client data will be used to train AI models (default: no, unless specifically agreed)
• Ownership of outputs, deliverables, and any custom-trained models
• Confidentiality and data security obligations
• Compliance with applicable AI governance frameworks and regulations

6.2 AI Use on the Site

The Site itself does not use AI tools to interact with visitors or process visitor data beyond standard analytics described in our Privacy Policy. Some content on the Site (including blog posts and marketing copy) may have been developed with AI assistance as part of our normal content creation process; all such content is reviewed and edited by EFFX team members before publication.

6.3 Third-Party AI Service Limitations

EFFX uses third-party AI services that have their own terms of service, usage policies, and data handling practices. EFFX does not control these third parties and is not responsible for their actions, errors, omissions, or output. Where applicable, EFFX selects vendors based on their security, privacy, and reliability practices.

6.4 AI Output Disclaimer

AI tools can produce inaccurate, biased, or unexpected outputs. EFFX applies professional judgment and quality review to all client deliverables that involve AI-generated content. Clients are responsible for evaluating the suitability of AI-assisted recommendations for their specific circumstances and obtaining independent professional advice where appropriate (legal, financial, regulatory, etc.).

7. Third-Party Content and Links

The Site may contain links to third-party websites, services, or content (including our former agency, Eff Creative Group). EFFX does not control and is not responsible for third-party content, services, or practices. Your use of third-party sites is at your own risk and subject to the terms and policies of those sites.

8. Disclaimers

8.1 No Warranties

The Site and all content are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or uninterrupted operation. EFFX does not warrant that the Site will be error-free, secure, or available at all times.

8.2 Results Not Guaranteed

Any case studies, statistics, performance metrics, testimonials, or results referenced on the Site (including, without limitation, financial outcomes, growth percentages, or operational improvements) are illustrative of past client engagements only. Results vary based on numerous factors including a client’s specific circumstances, market conditions, execution, and other variables outside EFFX’s control. EFFX makes no guarantee, representation, or warranty that any specific outcome, result, or benefit will be achieved through engagement of our services.

8.3 No Professional Advice

Information on the Site (including blog content and case studies) is provided for general informational purposes only and does not constitute legal, financial, tax, accounting, regulatory, medical, or other professional advice. You should consult qualified professionals for advice specific to your situation.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• EFFX, its affiliates, officers, directors, employees, agents, and licensors will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to your use of the Site, including but not limited to lost profits, lost revenue, lost data, business interruption, or loss of goodwill, even if EFFX has been advised of the possibility of such damages.
• EFFX’s total aggregate liability for all claims arising out of or relating to the Site or these Terms will not exceed one hundred US dollars ($100).
• These limitations apply regardless of the legal theory under which the claim is brought (contract, tort, statute, or otherwise) and even if a remedy fails of its essential purpose.

Note: This limitation of liability applies to your use of the Site only. Liability arising from EFFX’s performance of services under a separate written engagement agreement is governed by the terms of that agreement.

You agree to indemnify, defend, and hold harmless EFFX and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

• Your use of the Site
• Your violation of these Terms
• Your violation of any law or third-party right
• Information you submit to us

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. You consent to the personal jurisdiction of those courts and waive any objection to venue.

If you are a consumer in the EU, UK, or another jurisdiction with mandatory consumer protection laws, this provision does not deprive you of the protections of those laws.

We may modify these Terms at any time. The “Last Updated” date reflects the most recent version. Material changes will be communicated through the Site or, where appropriate, by email. Your continued use of the Site after changes are posted constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Site.

14. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, the provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will continue in effect.

• Entire Agreement: These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and EFFX regarding the Site.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
• No Waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. EFFX may assign these Terms freely.
